a) The LedUnion catalogs, Internet shop, price lists and quotations do not constitute official orders unless they are expressed to be fixed Proforma Invoice documents and valid for a specified period.
b) After customer obtaining the quotation and confirmation of contents, LedUnion will sign a Proforma Invoice with the customer and make the order effective.

The prevailing exchange rate of LedUnion pricing is based on the spot rate of US$ 1 = RMB 6.9 as being posted by the Bank of China before Close of Business on the contracting day herein specified. However, any variation of 0.5% or above this specified contracted rate as founded on the effected day of payment, LedUnion shall have the right to claim in full the discrepancy or any part thereof as a result of this rate fluctuation experienced, and the customer shall reimburse within the subsequent 7 calendar days any monetary sum due accordingly to LedUnion.
a) Neither party shall be liable for breach of the Agreement other than payment if and to the extent that fulfillment of a term or condition hereof has been prevented, hindered or delayed by force majeure as defined in this Condition and in such event the time for fulfillment of such a term shall be extended for such period as is reasonable in all the circumstances.
b) The expression "force majeure" shall mean any event of circumstances beyond the immediate control of either party, including without prejudice to the generality of the foregoing, strikes, lock-outs, trade disputes, accident to plant or machinery, shortage of any material, failure in whole or in part of any power or energy supply, delays in or cancellations of deliveries or provision of services by third parties, riots, civil commotion, war national or international, emergency, destruction or damage due to natural forces, fire, flood, explosion, and compliance with orders or requests of any national or local authority.
In the case of any dispute arise and arbitration be required, the Law of the People Republic of China shall prevail, and any arbitration proceedings, if and when required, shall rest with any/one of recognized institution/s within the territory of the People's Republic of China.
